the first, it doesn't show up at all.  Here are the steps I use to reproduce
the problem:

$ mkdir /tmp/tmtest
$ echo "# empty" > /tmp/tmtest/Makefile.am
$ mate /tmp/tmtest

The result is I end up with a drawer with an empty directory (i.e. no
Makefile.am)
